Inverted overprint, long recognized as the "stopper" in completing a denomination set. There have been no new inverts on the $2 denomination since 1976, making these scarcer every day. In our CPMX auction we sold a mate to this one (from Richmond, the most common district) in excess of $3,500. There is no reason that this lovely example shouldn't fetch that much. Waiting will only cost you more.
